Joint acquisition of S & B Books

Aurora, ON, July 3, 2012

New development improves services for Libraries across Canada

United Library Services Inc., of Calgary, Alberta (“ULS”) and Whitehots Inc., (“Whitehots”) of Aurora, Ontario have jointly acquired S&B Books Ltd. of Mississauga, ON, effective July 12, 2012.

ULS and Whitehots are leading Canadian library service providers serving Public and School Libraries across Canada.

The S&;B Mississauga operation will continue to operate with the current staff as a division of Whitehots and the S&B operation will focus largely on the Eastern Canadian market. ULS will assume 100% of the existing S&B customer orders for Western Canadian-based libraries and schools, and the Canadian distribution rights for Thorndike Large Print.

Russ Culver, CEO Whitehots, said “This strategic move will allow us to continue to invest in our people and technology. We will now be in an excellent position to expand the services we provide to public and school libraries in Canada.”

Robin Hoogwerf, General Manager of ULS added “this acquisition allows ULS to further consolidate its core Western Canadian market which will provide for significant additional investment in technology and human resources.”

S&B Books has a twenty-year legacy of serving library institutions in Canada and both ULS and Whitehots have enjoyed a positive and professional relationship with S&B over the years. This joint acquisition will greatly improve the supply channel to the benefit of all the stakeholders and further enhance an already vibrant library community in Canada.

Neither ULS nor Whitehots anticipates any disruption with respect to order fulfillment.
